The name of this corporation shall be the Forrestridge Homeowners Association, Inc.; it shall be operated as a Texas non-profit organization.
Article II. Object
The purpose or objective of this Association shall be to foster and promote the quality of living in the Forrestridge area; to assist and represent the members of this Association in all pertinent matters regarding local, state and federal government; to implement programs for the beautification and improvement of the physical and natural properties in the area; to increase and maintain property values in the Forrestridge area.
Article III. Members
Section 1. Membership of this association shall be open to those persons living within the Forrestridge area in Denton County, Denton Texas, including all lots in Forrestridge Additions I, II, III, and IV. Estates of Forrestridge Sections I, II, III, El Paseo Addition Phase I and Key Irwin Addition.
Section 2. All members of the Association in Good Standing shall be entitled to one vote per lot.
Article IV. Address
The principle mailing address of this Association shall be: Forrestridge Homeowners Association, P.O. Box 2912 Denton, Texas 76201.
Article V. Officers
Section 1. The officers of this Association shall be President, Vice President, Secretary and Treasurer.
Section 2. The Officers of this Association shall be elected for a term of one year by ballot or voice by a majority of the membership present at the annual meeting. Their term of office shall begin at the close of the meeting at which they are elected. Officers may succeed themselves in office for up to five consecutive terms.
Section 3. A vacancy in any office created by the resignation of an officer shall be filled by the Board of Directors to serve for the remainder of the term of office and position to which elected.
Section 4. These officers shall perform the duties as prescribed by these By-Laws.
President: The President shall preside at all meetings of this Association and the Board of Directors; shall have general supervision of the organization and enforce proper obedience to the Bylaws of this respective duties; shall be an ex-officio member of all appointed or elected committees; shall announce the results of all elections; shall decide all parliamentary questions that arise; shall sign with the Secretary or any other officer of the Association designated by the Board of Directors, contract, or other instrument which the Board of Directors has authorized to be executed, except in cases where the signing and execution thereof shall be expressly delegated to another officer of the Association, and shall perform other duties as prescribed by the Board of Directors.
Vice President: In the absence of the President, the Vice President shall perform the duties of the President, and when so acting, shall have all the powers of and be subject to all the restrictions upon the President. The Vice President shall perform other duties as may be assigned by the President or Board of Directors
Secretary: The secretary shall keep the minutes of the meetings of the Association and Board of Directors; shall see that all notices are duly given in accordance with the provisions of these By-Laws as required by law; shall serve as custodian of the Association's official documents; shall contact members of the Board of Directors convening special meetings scheduled by the president, and shall perform other duties as the President of the Board of Directors prescribes.
Treasurer: The Treasurer shall have charge and custody of all funds and securities; shall receive all monies due the association; shall issue receipts and deposit all monies received in a bank designated by the Board of Directors; shall report to the Association the receipts and disbursements and issue an annual examination by an auditing committee.
Article VI. The Board of Directors
Section 1. The officers that are elected by this association at the annual meeting plus the committee chairmen appointed to the four standing committees by these officers shall constitute the Board of Directors. Section 2. The officers and affairs of this Association shall be managed by the Board of Directors. Section 3. Meetings of the Board of Directors may be called by the president or any three members of the Board of Directors, and shall be open to all members of the Association. Location of such meetings shall be designated by the President.
Section 4. Forty percent in number of the members of the Board of Directors shall constitute a quorum for the transacting official business that comes before it.
Section 5. A vacancy within the Board of Directors shall be filled by the Officers of the Association, if such vacancy is of a Committee Chairman and by vote of the Board of Directors as a whole if such a vacancy is of an officer.
Section 6. The immediate past president shall be an ex-officio member of the Board of Directors.
Section 7. Removal of Member. Any Committee chairman or officer who misses two consecutive meetings or who misses more than three meetings out of any six consecutive meetings shall be automatically terminated from his chairmanship or office and his position shall be filled as provided above. Exceptions to this provision may be approved by a majority vote of the Board of Directors.
Section 8. Contracts. The Board of Directors may authorize any officer of the Association or any other agent by specific writing, to enter into any contract or execute and deliver any instrument in the name of and on behalf of the Association.
Section 9. Checks, drafts, etc. All checks, drafts, or orders for the payment of money, notes or other indebtedness issued in the name of the Association, shall be signed by at least one or more persons designated by the Board of Directors
Section 10. The Board of Directors may accept on behalf of this Association any contribution, gift, bequest or device.
Section 11. Investments: Any funds of this Association may at the discretion of the Board of Directors be invested as permitted by law.
Article VII. Meetings
Section 1. The annual meeting of this Association shall be held during the month of February each year, or at such other time as shall be determined by the Board of Directors. The last day of February will be the end of the FHOA fiscal year. Section 2. At the annual meeting, each committee chairman shall give a report of the activities of his or her committee and shall invite comments from the members as to projects for that committee. Section 3. Special meetings may be called by the Board of Directors or on submission to the Board of Directors by petition signed by ten (10) members of this Association stating the purpose for which the special meeting is being called.
Section 4. The Board of Directors may designate any meeting place within the City of Denton for the purpose of transacting business of the Association for annual or special meetings Section 5. Notice of any meeting of the full membership of this Association shall be made to all homeowners in the Forrestridge area, as identified in ARTICLE III stating the time, date, place, and purpose of the meeting. Notice of such meetings shall be given at least fifteen days in advance via: posting of outdoor signs placed in the common areas, in writing or by electronic mail (e-mail). If a meeting is required that does not allow for a 15 day written notice, a change in dues or changes in the Bylaws can not considered at this meeting.
Article VIII Standing Committees
Membership Committee
Section 1. A Membership Committee Chairman shall be appointed by the Officers promptly after each annual meeting. This chairman shall appoint two or more other association members to serve on this committee.
Section 2. It shall be the duty of this committee to solicit potential members; to contact existing members; to establish and supervise a telephone sub-committee; and to perform other duties relating to gathering and informing members as are assigned by the Board of Directors.
Legal Committee
Section 1. A legal committee chairman shall be appointed by the officers promptly after each annual meeting. This chairman shall appoint two or more other association members to serve on this committee.
Section 2. This committee shall address and make recommendations to the Board of Directors. It is recognized that the volunteer members of such committee cannot devote an inordinate amount of free legal services to the Association and that the recommendation of the Committee in some instances may be to employ an attorney to represent the Association on certain issues.
Code and Law Enforcement Committee
Section 1. A code and law enforcement committee Chairman shall be appointed by the officers promptly after each annual meeting. This chairman shall appoint two or more other association members to serve on this committee.
Section 2. It shall be the duty of this committee to work to lower crime in Forrestridge by 1) organizing a comprehensive crime watch program; 2) developing a system to identify and report code violations; 3) establishing a crime alert network; and 4) representing the Association on regional and city-wide crime prevention programs.
Government Liaison Committee
Section 1. A Government Liaison Committee Chairman shall be appointed by the Officers promptly after each annual meeting. This chairman shall appoint two or more other association members to serve on this committee.
Section 2. It shall be the duty of this committee to represent the association before any and all governmental bodies as requested by the Board of Directors and to gather and report to the Board of Directors information as to any issues coming before such governmental bodies which may have an impact on the neighborhood.
Web Site Committee
Section1. A web site committee Chairman shall be appointed by the officers promptly after each annual meeting. This Chairman shall appoint two or more other association members to serve on this committee.
Section 2. It shall be the duty of this committee to maintain the FHOA Web site that includes, but not limited to a alphabetical listing of all Residences of Forrestridge (as defined in Article 3), resident listing by street, maps of Forrestridge, board members, committee chairman, Bylaws, Covenants & Restrictions, important phone numbers, and other listings as recommended by the Board of Directors.
Section 3. All listings of residents will be password protected. The password will be provided to all members in good standing.
Article IX. Special Committees
Nominating Committee
Section 1. A Nominating Committee shall be composed of the non-officer members of the board of directors.
Section 2. It shall be the duty of this committee to provide a list of willing candidates to serve in the officer positions. The slate nominated by this committee shall be submitted to the members of the Association at the annual meeting. Additional nominations from the Floor shall be permitted.
Auditing Committee
Section 1. An Auditing committee composed of two members of the association shall be appointed by the President at least sixty days before the next scheduled annual meeting.
Section 2. It shall be the duty of this committee to audit the Treasurer's accounts at the close of the year and to present a written report at the following annual meeting.
Real Estate Liaison Committee
Section 1. A Real Estate Liaison Committee shall be appointed by the Board of Directors each annual meeting.
Section 2. It shall be the duty of this committee to work with the real estate brokers and agents doing business in Forrestridge to improve the marketability and desirability of properties within the neighborhood.
Other Committees
The Board of Directors may also from time to time appoint other committees for special purposes or for specified periods of time deemed necessary to carry on Association work.
Article X. Dues
Annual dues shall be fixed by the Board of Directors. These dues shall not exceed a cap of $100.00 per year. This $100.00 maximum can only be increased by the actual rate of inflation from year to year or by two-thirds vote of the Associations membership, in good standing, present at any annual meeting. Members must pay the dues within 30 days of receipt of notice in order to maintain membership in good standing.
Article XI. Amendment of Bylaws
These By-Laws may be amended by a two-thirds vote of this Association's membership present at any annual meeting or at any special meeting for which notice stating that the purpose of such meeting will include amendments to the by-laws.
Article XII. Rules of Procedure
The Roberts Rules of Order, newly revised, shall be used by the Association in all cases not specifically provided for in the Bylaws.
